About Legal documents templates
Legal documents are the backbone of ordinary transactions — selling a used car, resigning from a job, leasing a flat, lending money between family members. Template.how publishes each legal document in two forms: a fill-in-browser builder that outputs a clean PDF or DOCX, and a pre-made download for people in a hurry. Every document has jurisdiction-specific variants because a Californian bill of sale and a Texas bill of sale are not the same instrument, and an English residential lease is not a Scottish one.
What distinguishes a legal template from a generic fill-in-the-blank form is that a legal template carries the structure, language, and field order that courts and registries expect. A fill-in-the-blank form might get you 80% of the way there; the missing 20% — the as-is clause, the governing law provision, the witness line — is usually the part that matters in a dispute. Templates in this category are built around the statutory minimums for both the US and UK markets, with jurisdiction tables where the rules diverge meaningfully.
What this category covers
Bill of sale. A record of personal-property transfer between private parties. Mandatory in nine US states for vehicle sales; good practice everywhere else. The UK equivalent for vehicles runs alongside the V5C logbook. Governing framework: UCC Article 2 (US), Sale of Goods Act 1979 (UK).
Lease agreement. A residential or commercial lease fixes the term, the rent, the deposit, and the mutual obligations of landlord and tenant. In England, a statutory assured shorthold tenancy (AST) must comply with the Deregulation Act 2015 — missing deposit protection notices or EPC certificates can prevent a landlord from serving a valid section 21 notice. US state law varies enormously: California (Civil Code § 1950) and New York have strong tenant protections; Texas (Property Code Chapter 91) is more landlord-friendly.
Rental agreement. Functionally similar to a lease, but typically shorter-term or month-to-month. Some US states treat a rental agreement as distinct from a fixed-term lease; others use the terms interchangeably. In Scotland, the private residential tenancy (introduced under the Private Housing (Tenancies) (Scotland) Act 2016) replaced the AST with an open-ended tenancy that can only be ended by the tenant or under specific grounds by the landlord.
Eviction notice. Called a notice to quit, a pay or quit notice, or a three-day notice depending on the jurisdiction and the reason. In England, a section 8 notice under the Housing Act 1988 is used when the landlord has statutory grounds; a section 21 notice is the no-fault route (currently being reformed under the Renters’ Rights Bill 2024–25). US notice periods run from 3 to 60 days depending on the state and the reason for eviction.
NDA (non-disclosure agreement). Used by businesses and individuals to protect confidential information shared with employees, contractors, partners, or potential acquirers. A mutual NDA binds both sides; a one-way NDA typically covers a disclosure from employer to employee or from business to prospect. UK NDAs are regulated by the Employment (Allocation of Tips) Act 2023 provisions on misuse clauses and, more relevantly, by the 2019 guidance requiring NDAs not to prevent workers reporting crimes or cooperating with law enforcement.
Operating agreement. The internal governance document for a US LLC — it sets out member percentages, management structure, voting rules, profit distributions, and what happens if a member dies or wants to leave. Most US states do not require a written operating agreement (Wyoming and California are exceptions) but operating without one means the LLC defaults to state rules, which are often inconvenient. The UK equivalent for a private limited company is the articles of association.
Last will and testament. One of the most consequential documents an individual ever signs. Requirements are strict: in England and Wales, under the Wills Act 1837, a will must be in writing, signed by the testator, and witnessed by two independent adults who do not benefit from the will. US requirements are state-specific — Louisiana has its own civil-law tradition, and holographic (handwritten, unwitnessed) wills are valid in about half of US states.
Letter of recommendation. A professional endorsement from a supervisor, client, or academic. While not a legal document in the strict sense, it carries professional liability implications — a deliberately inaccurate recommendation can expose the writer to defamation or negligent misrepresentation claims. The template structure matters because hiring teams and universities scan for specific elements: relationship to the candidate, specific accomplishments, comparative assessment.
Resignation letter. Signals the formal end of an employment contract. Under UK employment law, a resignation letter starts the notice period running. In most US states (at-will employment), the letter is a courtesy more than a legal requirement, but it creates a paper trail that matters for unemployment claims.
Doctor’s note. Provides written confirmation that a patient has attended a medical appointment or is unfit for work. In the UK, a fit note (Statement of Fitness for Work, form Med 3) is issued by a GP or hospital doctor and has specific statutory status under the Social Security Act 1992. A generic letter from a doctor is not the same as a statutory fit note.
Offer letter. A written job offer sets out the salary, title, start date, and key conditions before a formal employment contract is issued. In the UK, a signed offer letter is a legally binding contract once accepted — the subsequent contract of employment adds detail but cannot reduce what the offer letter promised. In the US, at-will employment language in an offer letter is critical; without it, some courts have found implied-contract protections.
How to pick the right template
The two questions that narrow the field immediately are: what jurisdiction governs this document, and what is the relationship between the parties?
Jurisdiction first. Every legal document in this category is shaped by the law of the place where the transaction occurs or where the parties are based. An NDA drafted for a US company with English-law governing provisions and vice versa will still work — governing-law clauses are enforceable in both jurisdictions — but the default templates on this site are pre-populated with the appropriate jurisdiction’s standard language. If you are in England, start with the English template and change the governing law only if you have a genuine reason to.
Relationship second. The documents in this cluster fall into three relationship types:
- Buyer–seller. Bill of sale, conditional sale. The document records a one-off transfer. The main risk is ambiguity about condition and price.
- Landlord–tenant. Lease, rental agreement, eviction notice. The relationship is ongoing and regulated. The main risk is non-compliance with statutory requirements that make the agreement unenforceable.
- Employer–employee/contractor. Offer letter, resignation letter, NDA, letter of recommendation. These documents exist along a timeline — offer → acceptance → employment → departure → reference. Each stage has its own document type.
Worked example — small business, England. A sole trader in Bristol has been asked to do some consultancy work for a Bristol-based tech company. The company wants an NDA before sharing its roadmap. The trader needs an invoice structure (different category) and a self-employed consultancy agreement (which is a specialised contract — not in this category, but linked from the business-templates hub). What is in this category: if the trader operates as a limited company rather than a sole trader, an operating agreement (or, more precisely, the articles of association equivalent) will determine how the company is managed. The NDA is the immediate document needed.
For the NDA, the relevant questions are: mutual or one-way? The tech company wants to share information with the consultant, but the consultant will also be sharing their methodology — so a mutual NDA is appropriate. Duration? UK courts will enforce NDAs of indefinite duration for trade secrets but will typically strike down perpetual NDAs for general confidential information; a three-year term is standard for this type of arrangement. Is the work likely to involve personal data? If so, the NDA should not be the only document — a data processing agreement (DPA) under UK GDPR will also be required.
Worked example — residential landlord, Texas. A private landlord in Austin is renting out a condominium for the first time. Texas Property Code Chapter 92 governs residential leases. Key requirements: the lease must identify the landlord’s name and address (or the property manager’s), repair obligations must be stated, and the security deposit rules under § 92.103 require the landlord to return the deposit within 30 days of the tenant vacating. Texas does not require a specific form — a private lease that covers these elements is valid — but using a template that pre-populates the statutory language is significantly safer than starting from scratch.
When a template is not enough. Templates are appropriate for standard transactions where the parties are dealing at arm’s length, the asset is ordinary, and the amounts involved are modest. They are not appropriate when: the property being transferred is unusual or high-value (above £100,000 is a reasonable UK threshold; above $250,000 in the US); one party is a legal entity in a different jurisdiction from the other; there are competing claims on the asset (finance agreements, joint ownership); or the document will be used in litigation or regulatory proceedings. At these points, instruct a solicitor (UK) or an attorney (US).
Common mistakes in this category
Mistake 1: Treating templates as legally equivalent across jurisdictions. This is the most common and expensive error. A lease agreement valid in New South Wales is not valid in Victoria; an English AST is not valid in Scotland; a Florida vehicle bill of sale with no notarisation is valid, but the same document used in Wyoming for a vehicle over a certain value may not be. Every template on this site carries a jurisdiction indicator — use it.
Mistake 2: Leaving variable fields blank or using placeholder language. “Insert name here” is a real phrase I have seen in executed documents. An incomplete legal document is worse than no document because it creates false certainty. Before signing, every bracketed field must be filled. If you are generating a PDF from a builder and some fields are optional, that is a deliberate decision — but “optional” does not mean “harmless to leave blank.”
Mistake 3: Using out-of-date templates. Legal requirements change. The UK Renters’ Rights Bill, once in force, will change what a valid residential tenancy notice must contain. US states update their landlord-tenant codes frequently. The updated date on every template in this collection tells you when it was last verified against the current statute. If a template was last updated before a major legislative change, treat it with caution.
Mistake 4: Not keeping a signed copy. Both parties should leave a transaction with a signed original, not a photocopy or a photo on their phone. This matters because: (a) in some jurisdictions a photocopy is not admissible without the original being accounted for; (b) if you ever need to enforce the document, the first thing the other side’s solicitor will ask for is the original. Store signed originals somewhere you will find them in an emergency — not in an email attachment, not on a shared cloud drive the other party also has access to.
Mistake 5: Misunderstanding what an NDA can and cannot cover. An NDA can protect confidential business information. It cannot prevent someone from: reporting a crime to the police; making a protected disclosure (whistleblowing) under the Public Interest Disclosure Act 1998 (UK) or equivalent state whistleblower laws (US); or cooperating with a regulator. NDAs that purport to restrict these activities are unenforceable in the UK and in most US jurisdictions, and attempting to enforce them can expose the person who issued the NDA to significant legal and reputational risk.
Mistake 6: Signing a last will without independent witnesses. In England and Wales, under the Wills Act 1837, a will witnessed by someone who benefits from the will (or whose spouse benefits) is valid — but the bequest to that witness is void. Most people do not know this, which means their choice of executor-friend as witness can accidentally disinherit that person. In the US, most states require two witnesses who are not beneficiaries. Using a professional witness or a solicitor for a will is cheap insurance against this specific error.
The common structural pattern across all these documents
Whatever the document type, you will notice a consistent skeleton: parties, subject matter, consideration, obligations, and signatures. This is not coincidence — it is the minimum structure a court needs to find an enforceable contract.
Parties — who is making the agreement. Full legal names, not trading names or nicknames. If a party is a company, the registered entity name and company number.
Subject matter — what the agreement covers. For a bill of sale, it is the asset. For a lease, it is the property. For an NDA, it is the class of confidential information.
Consideration — what each party gives in exchange. In a bill of sale it is the price and the transfer of ownership. In an NDA it is often the mutual commitment to protect information (a common consideration issue is that one-way NDAs given by employees need to be supported by consideration — employment itself typically satisfies this, but a standalone NDA given to an existing employee without additional benefit may need a nominal payment to be binding in some US states).
Obligations — what each party must do. The meat of the document.
Signatures — execution. The moment the contract becomes binding. For some documents (deeds in England and Wales), a signature must be witnessed; for others, two parties signing is sufficient.
